CAMPAIGN MANAGER MASTER SOFTWARE & SERVICES AGREEMENT

Version 2.0 - Effective 5 September 2026

This Campaign Manager Master Software & Services Agreement ("Agreement") governs access to and use of the Campaign Manager software and any related services ordered from Govware Solutions Limited.

This Agreement is entered into between Govware Solutions Limited, owner and provider of Campaign Manager ("Govware", "Provider", "we", "us" or "our"), and the individual, candidate, campaign organisation, political party, support group, company, institution, civil society organisation, media organisation or other entity identified as the Customer in the applicable Campaign Manager Order ("Customer", "you" or "your").

Where an individual accepts this Agreement for an organisation, that individual represents that he or she is authorised to bind the organisation.


1. DOCUMENT STRUCTURE AND ORDER OF PRECEDENCE

This Agreement works together with the applicable Schedule, the Order, quotation, invoice, statement of work or other written service description accepted by the Customer.

If there is a conflict, the following order applies unless the later document expressly states otherwise:

  1. the statement of work or special terms expressly agreed for the specific Order;
  2. the quotation, invoice, checkout summary or Order record;
  3. the applicable Schedule;
  4. this Master Agreement.

Commercial amounts, taxes, service dates, campaign scope, service type and any custom deliverables are controlled by the applicable Order, quotation, invoice or statement of work.


2. DEFINITIONS

"Campaign Manager" means the Campaign Manager software application, related documentation, release packages, installers, provisioning interfaces and Govware-created components.

"Community Edition" means the free self-hosted Campaign Manager release made available for download and use by customers that operate Campaign Manager on infrastructure they control.

"QuickStart Geography Provisioning" means an optional paid service that supplies automated campaign geography provisioning for the selected campaign scope. It is not permission to install or run Campaign Manager.

"Professional Services" means optional human services such as professional installation, migration, upgrade assistance, priority support, custom configuration, custom development or integration work ordered from Govware.

"Managed Deployment" means a separately quoted service under which Govware deploys, administers or supports Campaign Manager and related infrastructure for the agreed campaign cycle or service period.

"Customer Data" means campaign, supporter, member, volunteer, agent, voter, personnel, messaging, election, incident, result, document and other information entered into or generated from the Customer's Campaign Manager environment.


3. CURRENT PRODUCT PATHS

Campaign Manager is supplied through these main paths:

  • Community / Self-Hosted Edition: free download and use on Customer-controlled infrastructure, with manual campaign and geography configuration available without a software licence fee or activation key.
  • Optional Self-Hosted Services: paid services such as QuickStart Geography Provisioning, Professional Installation, Priority Support, Campaign SMS, migration, upgrades, custom configuration and integrations.
  • Managed Deployment: Govware's premium managed service for deployment, administration, technical support and maintenance according to the applicable Order or statement of work.

Legacy orders and historical licence records remain governed by the agreement version and commercial terms accepted for those orders.


4. COMMUNITY EDITION SOFTWARE RIGHTS

Govware grants the Customer a non-exclusive, non-transferable right to download, install and use Campaign Manager Community Edition internally for the Customer's own campaign, political, civic or organisational operations, subject to this Agreement and Schedule C.

The Community Edition carries a ₦0 software licence fee. No software activation fee or activation key is required merely to install or operate the Community Edition.

The Customer may engage its own employees, consultants, developers, hosting provider or technical contractors to install, maintain or customise the Customer's own Campaign Manager installation, provided those persons act for the Customer and comply with confidentiality, security and intellectual-property restrictions in this Agreement.

Campaign Manager is not described or licensed as open-source software under this Agreement. Free download and use do not grant a right to sell, repackage, white-label, host as a competing service, sublicence or commercially redistribute Campaign Manager without Govware's prior written approval.


5. GOVWARE INTELLECTUAL PROPERTY

Campaign Manager and all associated intellectual property remain the exclusive property of Govware Solutions Limited or the applicable lawful licensor.

This includes source code, object code, architecture, workflows, interfaces, designs, documentation, trademarks, branding, provisioning systems, SMS systems, service tooling, release packaging, APIs created by Govware and pre-existing technology.

Except for the rights expressly granted in this Agreement, no ownership or intellectual-property right transfers to the Customer.

Unless Govware expressly agrees otherwise in writing, the Customer shall not:

  • sell, lease, sublicence, rent or commercially distribute Campaign Manager as a standalone product;
  • remove proprietary notices or Govware branding where such notices are included in the software or documentation;
  • market Campaign Manager as the Customer's own software product;
  • offer Campaign Manager as a white-labelled or competing hosted service;
  • publish confidential source code or non-public Govware materials;
  • circumvent provisioning, billing, SMS, security or access-control systems for paid services;
  • use Govware trademarks in a misleading way; or
  • use Campaign Manager for unlawful activity.

6. CUSTOMER DATA

Customer Data remains owned by the Customer or the lawful owner of that data. Govware acquires no ownership interest in Customer Data merely because Campaign Manager stores, processes or displays it.

In Community/self-hosted installations, Govware normally does not host Customer Data. Where the Customer asks Govware to provide support, installation, migration, managed deployment or another service involving access to Customer systems or data, Govware may access and process Customer Data only as reasonably necessary to provide that service, for security and operational purposes, as instructed by the Customer, or as required by law.


7. CUSTOMER RESPONSIBILITY FOR CAMPAIGN AND ELECTION USE

Govware provides technology. Govware is not the Customer's campaign, candidate, political party, electoral agent, communications controller or campaign operations team.

The Customer is responsible for lawful campaign operations, lawful data collection, lawful communications, election-law compliance, privacy notices, consent where required, opt-out compliance, content, campaign claims, supporter or voter data, and decisions made using Campaign Manager.

Campaign Manager does not guarantee electoral success, voter turnout, political support, dispute resolution, regulatory approval or any election outcome.


8. GEOGRAPHY CONFIGURATION AND QUICKSTART

Manual campaign geography configuration is available to Community/self-hosted users without a software licence fee. The Customer is responsible for validating manually entered or imported geography before operational use.

QuickStart Geography Provisioning is an optional paid convenience service. It authorises automated provisioning of the geography dataset for the selected campaign scope only. It is not a software licence, activation licence or permission to run Campaign Manager.

The Customer should verify the configured geography, boundaries, wards, polling units and any imported or provisioned data before relying on it for campaign operations.


9. PROFESSIONAL SERVICES

Professional Services are supplied only when ordered, paid for where applicable and accepted by Govware. They may include professional installation, setup, migration, upgrade assistance, priority support, custom configuration, custom development or integrations.

Professional Installation is a one-time installation and configuration service unless the applicable Order or statement of work expressly includes continuing support or managed administration.

Professional Services do not automatically include QuickStart Geography Provisioning, Campaign SMS activation, Managed Deployment, infrastructure costs, third-party fees, custom development or ongoing support unless expressly stated in the applicable Order or statement of work.


10. MANAGED DEPLOYMENT

Managed Deployment is a separately quoted service under Schedule A. The actual fees, infrastructure approach, scope, service period, third-party costs and responsibilities are stated in the applicable quotation, Order, invoice or statement of work.

Managed Deployment may include infrastructure planning, deployment, domain/SSL configuration, database, queues, cache, campaign setup, geography setup, security hardening, backups, monitoring, updates, technical maintenance and support according to the accepted commercial terms.

Infrastructure and third-party service costs are the Customer's responsibility except where the accepted Order expressly states otherwise. Govware is not required to finance Customer infrastructure or third-party services.

No Managed Deployment term guarantees 100% uptime, uninterrupted availability, political success or immunity from all security incidents.


11. CAMPAIGN SMS

Campaign SMS is an optional commercial service and is available only where activated, funded and technically supported for the Customer's installation.

Govware may source SMS capacity from upstream providers and may provide Campaign Manager installations with SMS access through Govware-controlled service credentials. Customers must not receive or require upstream supplier credentials unless Govware expressly agrees otherwise.

SMS credits, wallet balances, sender IDs, routes, delivery reports, rates and activation status are governed by the applicable Order, Portal configuration and SMS service terms. Delivery may be affected by mobile networks, provider rules, sender-ID approval, number validity, recipient devices, regulatory restrictions and third-party outages.

The Customer is responsible for lawful recipients, consent where required, opt-out handling, message content, timing, sender identity, political communication rules and all applicable telecoms, privacy and election-law obligations.


12. THIRD-PARTY SERVICES AND INFRASTRUCTURE

The Customer is responsible for third-party hosting, domain names, SSL certificates, email, SMS, payment channels, maps, APIs, storage, backups, monitoring tools, cloud services and other third-party services used with Campaign Manager unless the applicable Managed Deployment Order expressly assigns those responsibilities to Govware.

Govware is not responsible for failures caused solely by third parties outside Govware's reasonable control.

The Customer remains responsible for charges imposed by third-party providers, including infrastructure, messaging, domain, SSL, cloud, telecoms, payment or usage charges, unless otherwise stated in the accepted Order.


13. ACCESS, CREDENTIALS AND SECURITY

The Customer is responsible for protecting administrator credentials, server access, database credentials, API keys, payment credentials, SMS access, domain control and other sensitive access information under its control.

Where Govware needs temporary access for installation, support, migration or managed services, the Customer should provide secure time-limited access where practical and revoke access when no longer required.

The Customer must not provide credentials through public or insecure channels where safer exchange methods are reasonably available.

No internet-connected system can be guaranteed to be completely immune from attack.


14. DATA PROTECTION AND PRIVACY

The Customer determines the purpose and manner of collecting and using most campaign, supporter, voter, personnel and communications data in Campaign Manager. The Customer is responsible for privacy notices, lawful processing grounds, consent where required, data quality, data retention, lawful disclosure and compliance with applicable Nigerian data-protection, telecoms, election and privacy obligations.

Where Govware processes personal data to provide ordered services, Govware will use reasonable technical and organisational safeguards appropriate to the service and will process such data only to provide the service, according to lawful Customer instructions, for legitimate security and operational purposes, as required by law, or as otherwise authorised by this Agreement.

This Agreement does not represent that Campaign Manager or any deployment automatically provides a complete compliance programme or certification under any specific law.


15. CONFIDENTIALITY

Each party shall reasonably protect confidential information obtained from the other and use it only for purposes connected with Campaign Manager, the applicable Order or this Agreement.

Govware Confidential Information includes non-public source code, technical designs, pricing not publicly announced, security information, credentials, provider configurations, provisioning systems, SMS service configurations and non-public business processes.

Customer Confidential Information includes non-public campaign strategy, campaign data, supporter or voter data, credentials and internal operational information.


16. UPDATES, UPGRADES AND MODIFICATIONS

Community users may use available releases according to the release terms published by Govware. Govware does not guarantee that every update, upgrade, migration, support service or future feature will be free.

Where the Customer or a third-party developer modifies Campaign Manager code, dependencies, database structures or integrations, Govware may require reproduction on a supported unmodified version before accepting responsibility for an issue.

Customisations and integrations developed by Govware are governed by the applicable Order or statement of work. Govware retains ownership of its pre-existing tools, reusable components, frameworks, know-how and general-purpose improvements unless expressly agreed otherwise.


17. FEES, TAXES AND PAYMENT

The Community Edition software carries no software licence fee. Fees apply only to ordered paid services, legacy commercial entitlements, Managed Deployment, SMS, custom work, support, infrastructure, third-party charges or other paid items stated in an applicable Order, quotation, invoice or statement of work.

Unless Govware approves different written terms, paid services may require confirmed payment before provisioning, activation, installation, migration, custom work, SMS credit allocation, Managed Deployment or other service delivery begins.

The Customer is responsible for applicable taxes imposed on the transaction except taxes imposed directly on Govware's income. Where withholding is legally required, the Customer shall provide applicable official evidence or tax-credit documentation.


18. REFUNDS, CANCELLATION AND COMPLETED SERVICES

Refund and cancellation treatment depends on the nature and stage of the ordered service.

Govware may decline a refund or deduct reasonable costs where a digital provisioning key has been issued or used, SMS credits have been allocated or consumed, professional work has begun or been completed, infrastructure or third-party costs have been incurred, custom work has been delivered, or Managed Deployment services have commenced.

Nothing in this section removes statutory rights or remedies that cannot lawfully be excluded.


19. ACCEPTABLE USE

The Customer shall not use Campaign Manager or Govware services to conduct unlawful activity, compromise systems, send unlawful communications, harass recipients, infringe intellectual property, upload malicious code, bypass security controls, attack other installations, misrepresent Govware endorsement, unlawfully process data, or violate applicable election, telecoms, privacy or campaign-finance rules.


20. WARRANTIES AND DISCLAIMERS

Govware will use commercially reasonable efforts to provide ordered services with reasonable skill and care and to maintain supported Campaign Manager releases in substantial conformity with applicable documentation.

Except as expressly stated in this Agreement or required by law, Campaign Manager and related services are provided without warranties of uninterrupted operation, error-free performance, fitness for every campaign strategy, guaranteed third-party availability, guaranteed SMS delivery, guaranteed regulatory compliance or guaranteed political outcome.


21. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, neither Campaign Manager nor Govware's services create liability for indirect, consequential, special, punitive or speculative losses, including anticipated election outcomes, political opportunities, loss of goodwill, loss of profits, loss of votes, reputational harm or campaign expectations.

To the extent permitted by applicable law, Govware's aggregate contractual liability arising from a particular paid Order shall not exceed the amount actually paid to Govware under that Order. For free Community Edition use where no paid Order applies, Govware's aggregate contractual liability is limited to the lowest amount permitted by applicable law.

Nothing in this Agreement excludes liability that applicable law does not permit to be excluded or limited.


22. INDEMNITY

To the extent permitted by applicable law, the Customer remains responsible for third-party claims arising from the Customer's unlawful data processing, unlawful communications, unlawful campaign operations, unauthorised redistribution, intellectual-property infringement, unlawful content, misuse of Campaign Manager, breach of confidentiality, credential compromise caused by the Customer, or violation of applicable election, telecoms or privacy law.


23. TERM, TERMINATION AND SUSPENSION

The Customer's right to use the Community Edition continues unless terminated for material breach of this Agreement or until the Customer stops using Campaign Manager.

Paid services continue for the period stated in the applicable Order, quotation, invoice or statement of work.

Govware may reasonably suspend affected paid services for non-payment, chargeback, abuse, security risk, unlawful use, serious breach, provider suspension, regulatory requirement, or conduct threatening Campaign Manager infrastructure or other customers. Where reasonably practicable, notice and an opportunity to remedy will be provided.

Termination of a paid service does not require the Customer to stop using the free Community Edition unless the Customer's use itself breaches this Agreement.


24. FORCE MAJEURE

Neither party is responsible for delay or failure caused by events beyond reasonable control, including power failure, internet disruption, cloud provider failure, telecoms outage, labour disruption, civil unrest, epidemic, natural disaster, government action, regulatory restriction, war, terrorism, election violence or other force majeure event.


25. ASSIGNMENT

The Customer may not transfer Campaign Manager rights, paid services, provisioning keys, SMS wallets, Managed Deployment access or support entitlements to another campaign or organisation without Govware's prior written approval.


26. GOVERNING LAW

This Agreement is governed by the laws of the Federal Republic of Nigeria.


27. DISPUTE RESOLUTION

The parties shall first attempt good-faith commercial resolution of disputes. Unresolved disputes may be submitted to mediation.

Where settlement is not achieved, disputes may be referred to arbitration under the Arbitration and Mediation Act, 2023.

Unless otherwise agreed, the tribunal shall consist of one arbitrator, proceedings shall be conducted in English, the seat shall be Abuja, Nigeria, and proceedings may be conducted virtually.

Urgent court relief may be sought where necessary to protect intellectual property, confidential information or security.


28. ELECTRONIC ACCEPTANCE AND VERSION HISTORY

The Customer agrees that electronic acceptance may form evidence of its agreement. Govware may retain Order ID, customer identity, authorised representative details, agreement version, acceptance timestamp, IP address, user agent, accepted checkbox text, rendered agreement HTML and a cryptographic hash of the accepted agreement bundle.

Historical accepted agreements remain tied to the agreement version accepted at the time. Later versions apply only to later downloads, orders, renewals or services unless otherwise agreed.

Schedule A - Managed Deployment & Hosting Schedule

SCHEDULE A - MANAGED DEPLOYMENT & HOSTING SCHEDULE

A1. NATURE OF MANAGED DEPLOYMENT

Managed Deployment is Govware's premium service for customers that want Govware to deploy, administer, monitor, maintain or support Campaign Manager according to the accepted Order or statement of work.

Managed Deployment is not a separate software edition and is not a perpetual software licence. It is a managed service relationship for the agreed campaign cycle or service period.


A2. SERVICE SCOPE

Depending on the accepted commercial terms, Managed Deployment may include infrastructure planning, server/environment provisioning support, application deployment, configuration, database, queue, cache, storage setup, domain and SSL configuration, campaign setup, geography setup, security hardening, backups, monitoring, updates, technical maintenance and support.

The exact Managed Deployment deliverables, exclusions, service period, campaign scope, user capacity if any, fees and third-party costs are stated in the applicable Order, quotation, invoice or statement of work.


A3. INFRASTRUCTURE AND THIRD-PARTY COSTS

Infrastructure, domain, SSL, cloud, telecoms, SMS, email, payment, monitoring, storage and other third-party costs are the Customer's responsibility unless the accepted Order expressly states otherwise.

Govware may require those costs to be funded upfront before deployment or renewal work begins. Govware is not required to finance Customer infrastructure or third-party services.


A4. CAMPAIGN CYCLE AND RENEWAL

Managed Deployment is supplied for the campaign cycle or service period stated in the Order. It does not renew automatically unless expressly agreed.

An election postponement, political timetable change or extension of campaign operations does not automatically extend the service period or included infrastructure budget. Any extension must be agreed or renewed.


A5. CUSTOMER RESPONSIBILITIES

The Customer remains responsible for campaign operations, lawful data collection, lawful communications, election-law compliance, campaign content, internal users, authorised recipients, consent and operational decisions.

The Customer must provide timely information, approvals, domain access, branding assets, campaign scope decisions, content, responsible contacts and other inputs reasonably required for Managed Deployment.


A6. DATA ACCESS AND PROCESSING

Because Govware may host or administer components of the environment in a Managed Deployment, Govware may access Customer systems and Customer Data as reasonably necessary to provide the service, maintain security, resolve incidents, perform backups, apply updates, monitor availability, comply with law, or follow lawful Customer instructions.

Govware will use reasonable technical and organisational safeguards appropriate to the service and the agreed infrastructure.


A7. BACKUPS AND DISASTER RECOVERY

Where backups are included, Govware will use commercially reasonable efforts to configure backup routines appropriate to the Managed Deployment. Backup frequency, retention, restoration objectives and disaster-recovery scope are governed by the Order or statement of work.

No backup process is a guarantee against all data loss. The Customer should promptly report suspected data corruption, unauthorised access or operational incidents.


A8. SECURITY AND MONITORING

Govware will use commercially reasonable efforts to harden and monitor infrastructure components under Govware's administrative control according to the service scope. The Customer remains responsible for security decisions, devices, users, credentials, local networks and third-party systems outside Govware's control.

No Managed Deployment guarantees complete immunity from attack, uninterrupted service, or 100% uptime.


A9. UPDATES AND MAINTENANCE

Govware may apply security patches, bug fixes, maintenance releases and configuration changes during the service period. Emergency security work may be performed without prior notice where delay could materially increase risk.

Major upgrades, migrations, new modules, custom development and third-party integration changes may require additional agreement or fees unless included in the accepted service scope.


A10. SUSPENSION OR TERMINATION

Govware may suspend affected Managed Deployment services for non-payment, infrastructure non-funding, serious abuse, security risk, provider suspension, regulatory requirement, unlawful use or material breach. Where reasonably practicable, Govware will provide notice and an opportunity to remedy.

Upon expiry or termination, handover, data export, migration assistance or continued hosting may require additional fees unless already included in the applicable Order or statement of work.

Schedule B - Self-Hosted Professional Services Schedule

SCHEDULE B - SELF-HOSTED PROFESSIONAL SERVICES SCHEDULE

B1. PURPOSE

This Schedule governs optional paid services supplied to Community/self-hosted Campaign Manager customers. These services support a self-hosted installation but do not create a software-use licence requirement for the Community Edition.

Services covered by this Schedule may include QuickStart Geography Provisioning, Professional Installation, Priority Technical Support, migration or upgrade assistance, custom configuration, custom development and integrations where ordered.


B2. SELF-HOSTED RESPONSIBILITY

Unless Managed Deployment is separately purchased, the Customer remains responsible for obtaining, securing and maintaining its own hosting, server, operating system, runtime environment, database, web server, queue worker, cache, DNS, SSL, firewall, backups, monitoring, credentials, connectivity and disaster recovery.

Govware is not the Customer's hosting provider or ongoing infrastructure administrator merely because it supplies a Professional Service.


B3. QUICKSTART GEOGRAPHY PROVISIONING

QuickStart Geography Provisioning is an optional paid convenience service for automatically provisioning supported campaign geography for the selected campaign scope.

A QuickStart Provisioning Key authorises geography provisioning only. It is not a software licence, activation licence, maintenance entitlement, SMS entitlement, hosting entitlement or permission to run Campaign Manager.

The Customer remains responsible for verifying provisioned geography, campaign scope, ward and polling-unit data, and operational suitability before use.

A QuickStart key may be limited by campaign scope, geography, use count, replay rules, expiry or other service controls stated in the Order or Portal configuration.


B4. PROFESSIONAL INSTALLATION

Professional Installation is a one-time technical service unless the accepted Order or statement of work says otherwise. It may include environment review, deployment, application configuration, database setup, queue/cache/storage setup, domain/SSL assistance where applicable, first-run configuration and installation verification.

After handover, the Customer resumes responsibility for operating and maintaining the self-hosted infrastructure unless the Customer separately purchases Managed Deployment or support services.

Professional Installation does not automatically include QuickStart Geography Provisioning, ongoing monitoring, managed backups, SMS activation, custom development, training beyond what is expressly included, or ongoing technical administration.


B5. PRIORITY SUPPORT

Priority Technical Support is included only when purchased or expressly agreed. Support hours, response targets, escalation rules, covered versions, channels and exclusions are governed by the applicable Order, support plan or statement of work.

Unless a separate written SLA states otherwise, support is not a guaranteed 24-hour emergency service and does not make Govware the Customer's permanent ICT department.


B6. MIGRATION, UPGRADE AND CUSTOM WORK

Migration, upgrade assistance, custom configuration, custom development and integrations are supplied according to the accepted Order or statement of work. The Customer must provide accurate requirements, timely access, test data where appropriate, approvals and acceptance feedback.

Govware retains ownership of its pre-existing tools, reusable components, frameworks, know-how and general-purpose improvements unless expressly agreed otherwise. Customer-specific content and Customer Data remain owned by the Customer or lawful owner.


B7. ACCESS AND CREDENTIALS

The Customer should not submit server root passwords or other sensitive credentials through ordinary order notes or public forms. Where access is required, Govware and the Customer should arrange secure, temporary and revocable access appropriate to the service.

The Customer is responsible for revoking access when the service is complete unless Govware is separately engaged for ongoing Managed Deployment or support requiring continued access.


B8. FEES AND PAYMENT

Fees for Professional Services are those stated in the applicable Order, quotation, invoice or statement of work. Prices may vary by campaign scope, geography, complexity, urgency, third-party requirements or custom deliverables.

Govware may require confirmed payment before issuing a QuickStart key, scheduling installation, beginning migration, starting custom work, allocating SMS credit or providing priority support.


B9. CANCELLATION AND REFUNDS

Refund and cancellation treatment depends on the stage of work. Govware may decline a refund or deduct reasonable costs after a QuickStart key is issued or used, technical work begins, third-party costs are incurred, migration analysis is performed, custom work is delivered, or a scheduled service slot is missed due to Customer delay.


B10. EXCLUSIONS

Unless expressly included in the accepted Order, Professional Services do not include Managed Deployment, ongoing infrastructure administration, indefinite monitoring, managed backups, full compliance review, political consulting, guaranteed election outcomes, unlimited revisions, third-party fees, telecoms charges, SMS credit, or work outside the agreed scope.

SCHEDULE C - COMMUNITY / SELF-HOSTED EDITION TERMS

C1. FREE COMMUNITY EDITION

Campaign Manager Community Edition is free to download and use for the Customer's own self-hosted campaign or organisational operations, subject to the Master Agreement and this Schedule.

The Community Edition carries a ₦0 software licence fee. It does not require a software activation fee, paid licence key or remote activation merely to install or operate Campaign Manager.


C2. PERMITTED SELF-HOSTED USE

The Customer may install and use Campaign Manager Community Edition on infrastructure controlled by the Customer or by a hosting provider selected by the Customer.

The Customer may permit its employees, campaign team, authorised volunteers and technical contractors to access, operate, maintain or customise the Customer's own installation for the Customer's internal campaign or organisational purposes.

Those permissions do not allow the Customer or its contractors to sell, sublicence, repackage, commercially redistribute, white-label or offer Campaign Manager as a competing standalone product or hosted service without Govware's prior written approval.


C3. NOT OPEN SOURCE

Free download and use of the Community Edition does not mean Campaign Manager is open-source software. Unless Govware separately publishes an approved open-source licence, Campaign Manager remains proprietary software owned by Govware Solutions Limited or the applicable lawful licensor.


C4. CUSTOMER INFRASTRUCTURE RESPONSIBILITY

The Community Edition is self-hosted. The Customer is responsible for hosting, server capacity, operating system, web server, PHP/runtime environment, database, cache, queue worker, storage, DNS, SSL, email, backups, monitoring, firewall, malware protection, credentials, network connectivity, security updates and disaster recovery.

Govware does not provide managed hosting, managed backups, infrastructure monitoring, security hardening, server administration, premium support, SMS credit, installation, migration, customisation or ongoing technical administration for the Community Edition unless separately ordered.


C5. MANUAL GEOGRAPHY CONFIGURATION

Manual campaign and geography configuration is included with the Community Edition at no software licence fee. The Customer may manually create, import and maintain campaign geography according to the tools available in Campaign Manager.

The Customer is responsible for the accuracy, completeness, validation and maintenance of manually entered or imported geography.


C6. OPTIONAL SERVICES

The Customer may separately order optional paid services such as QuickStart Geography Provisioning, Professional Installation, Priority Technical Support, Campaign SMS, migration or upgrade assistance, custom configuration, custom development, integrations or Managed Deployment.

Optional services are governed by the applicable Order and Schedule. They are not required for ordinary Community Edition software use.


C7. DATA AND PRIVACY

In a normal Community/self-hosted installation, the Customer hosts and controls Customer Data. Govware does not ordinarily host or access that data unless the Customer requests support, installation, migration, QuickStart, Managed Deployment or another service requiring access.

The Customer is responsible for lawful collection, processing, security, backup, retention, disclosure and deletion of Customer Data and for compliance with applicable Nigerian data-protection, election, telecoms and privacy obligations.


C8. COMMUNITY SUPPORT

The free Community Edition does not include priority support, guaranteed response times, managed administration, training, custom development, data-entry services, SMS activation or infrastructure support unless separately ordered.

Govware may publish documentation, updates, release notes or community resources at its discretion, but this does not create a paid support obligation.


C9. UPDATES AND FUTURE RELEASES

Govware may make Community Edition releases available from time to time. Govware does not guarantee that every future release, migration, upgrade, service, dataset, integration or support plan will be free.

The Customer is responsible for testing updates, backing up its environment and confirming compatibility before upgrading a self-hosted installation.


C10. TERMINATION

The Customer may stop using the Community Edition at any time. Govware may terminate the Customer's rights to use Campaign Manager for material breach of the Master Agreement or this Schedule, including unauthorised commercial redistribution, white-labelling, unlawful use, intellectual-property infringement or serious security abuse.

Termination of an optional paid service does not by itself terminate the Customer's right to use the Community Edition unless the Customer's underlying software use breaches the Agreement.
